Extract from Memorandum annexed to despatch from Board of Trade to the

Foreign Office No. 437 of the 13th. March, 1912.

Section 223.

It is suggested that specific provision should be made

for an office in Shanghai with an Assistant Registrar for the receipt

of documents in respect of Shanghai Companies for transmission to Hong- -kong, and that (1) All documents lodged with the Assistant Registrar at Shanghai shall be lodged in duplicate; (2) One copy shall be filed by the Assistant Registrar in Shanghai and one copy transmitted by him to the Registrar at Hongkong; (3) With the exception of the issue of the certificate of incorporation all acts which are directed to be done

by the Registrar shall be done by the Assistant Registrar at Shanghai so far as regards Shanghai Companies.

It seems to be right that the Assistant Registrer should

be appointed by the Governor of Hongkong as provided by the section.

Section 224 (2).

It is presumed that the Assetant Registrar will be a

Hongkong Official. If so, the fees should be paid to the Colonial Treasurer as provided by the section.

Section 246 (1) (1).

It is suggested that the words "or in Shanghai (?China)"

should be added after "Colony".

Section 255.

Probably fines levied in Shanghai should not be paid to

the Colonial Treasurer.

Section 261.

Definition of "Registrar". It is suggested that the definition should be atended so as to cover the Assistant Registrar

at Shanghai so far as regards Shanghai Companies.

Definition of "Court". This should be altered so as to include the Supreme Court for China so far as regards Shanghai Companies.

It is suggested that this might be done either (1) By adding a section after section 130 providing that the Court having
